RSS Feed License
This page and any documents referred to on it (together with our Terms & Conditions and any other documents referred to on it) provide the terms on which you may download and use Really Simple Syndication (“RSS”) Feeds from any MedImmune (“we”, “us” and “our”) website (a “MedImmune RSS Feed”).
By downloading or using any RSS Feed you agree to be bound by the terms of this license (the “RSS Feeds License”). We reserve the right to revise the terms of the RSS Feeds License at any time. Some of the provisions contained in the RSS Feeds License terms may also be superseded by provisions or notices published elsewhere on our websites. Your continued use of RSS Feeds after we post a revised RSS Feeds License or otherwise modify the terms signifies your acceptance of the revised RSS Feeds License. Therefore, it is important to check the RSS Feeds License and Terms and Conditions each time you use a MedImmune RSS Feed. The RSS Feeds License will reflect the date of modification at the bottom of the License.
License
Provided you comply, at all times, with this RSS Feeds License, we grant you a revocable (at any time), non-exclusive, personal, non-commercial, worldwide, non-transferable, royalty free license to use and display on your website and/or otherwise incorporate into an RSS feed generated by you any content provided by us (including but not limited to headlines, active links, source identifiers, social bookmarking links and other information, content or materials that you select to receive from your use of the MedImmune RSS Feed) as a result of you subscribing to any MedImmune RSS Feed (the “MedImmune Content”).
This RSS Feeds License may not be transferred, novated, assigned and/or sub-licensed to any third party. MedImmune, our affiliates, and our licensors (as the case may be) reserve all rights not expressly granted in this RSS Feeds License.
Nothing in this RSS Feeds License grants you any right or license to use any of our trade marks on your website or elsewhere.
Use of RSS Feed
If you use any MedImmune RSS Feed on your website and/or in another RSS feed, you must provide a clear and functional link to the webpage with the MedImmune RSS Feed. You must also ensure that visitors to your website or subscribers to any relevant RSS feed incorporating the MedImmune RSS Feed are provided notice that the MedImmune RSS Feed is subject to this RSS Feeds License. You shall ensure that proper attribution is given to content contained in the MedImmune RSS Feed by:
- clearly stating: “This content is from MedImmune’s website at www.medimmune.com”; and
- retaining all copyright notices in their original form.
By using the MedImmune RSS Feed(s) and/or MedImmune Content, you represent, warrant and undertake that:
- any site upon which you display (or cause to be displayed) any MedImmune RSS Feed or any feed that you create (or cause to be created ) that incorporates any MedImmune RSS Feed (or part thereof) does not (i) bring MedImmune’s name, image and/or reputation into disrepute, (ii) contain any material that infringes a third party’s intellectual property rights or (iii) contain material that a reasonable person would consider as:
- inciting hatred (whether based on religion, gender, sexuality or otherwise, or promoting, encouraging or facilitating anti-social behavior);
- promoting, encouraging or facilitating violence (including terrorism or other activities that are an actual or potential risk to the security of any country);
- promoting, encouraging or facilitating illegal activity;
- discriminatory (whether based on religion, gender, sexuality or otherwise);
- offensive or obscene or actionable at law;
- defamatory, libelous or misleading;
- being of an adult nature (including, without limitation, of a pornographic nature); or
- being damaging to our reputation or image and/or capable of bringing our name into disrepute,
- your use of any such content is and shall continue to be in accordance with all applicable laws and regulations.
You must not suggest, whether directly or indirectly, that we endorse or approve anything that appears on any website and/or forms part of any RSS feed incorporating a MedImmune RSS Feed, including (without limitation) any content of yours or a third party, any product or any legal person/entity or individual. You may not sell or charge anyone (whether directly or indirectly) for accessing all or any part of any MedImmune RSS Feed and/or any MedImmune Content or commercialize same.
Intellectual Property Rights
All rights, title and interests in and to any content provided by MedImmune as a result of your subscription to a MedImmune RSS Feed(s) are and shall remain the property of MedImmune, our Affiliates and/or our third party licensors (as applicable). This license is not a trademark license and you do not have any rights to use any MedImmune trademarks on your website.
Indemnity
You agree to indemnify, defend and hold harmless MedImmune, our subsidiaries, affiliates and parents, and their respective officers, directors, employees, members, agents, representatives, business partners, information providers, licensors and licensees and their respective heirs and assigns (collectively, the “Indemnified Parties”) from and against any and all liability and costs, including, without limitation, reasonable attorneys fees and expenses, incurred by the Indemnified Parties in connection with any claim arising out of, or breach by you of this RSS Feeds License or use of any MedImmune RSS Feed and/or any MedImmune Content.
General
The provision of MedImmune RSS Feeds, MedImmune Content and the license in this RSS Feeds License may be suspended, withdrawn, restricted or terminated at any time without liability at MedImmune’s sole discretion. We may also require in writing that you delete all MedImmune RSS Feeds and/or MedImmune Content that you have downloaded, used and/or otherwise accessed. When you delete such content from any storage medium (including network storage), you will no longer be required to observe this RSS Feeds License in respect of any MedImmune RSS Feed and/or MedImmune Content you have downloaded, used and/or otherwise accessed (without prejudice to any accrued rights of us or you at the date of such deletion). Rights and/or obligations that are intended by their nature to survive termination will.
This RSS Feeds License is governed by and shall be construed in accordance with the laws of the State of Maryland without regard to its conflict of law provisions. By using a MedImmune RSS Feed, you agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the State of Maryland for resolution of any disputes arising out of or relating to this RSS Feeds License. You agree that, except as expressly provided herein (and other than MedImmune and its affiliates), there shall be no third party beneficiaries of this RSS Feeds License.
The failure by us to exercise or enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision, and no waiver shall be enforceable unless in writing and signed by the party against whom enforcement is sought.
If any portion of this RSS Feeds License is held to be unenforceable, the unenforceable portion will be construed in accordance with the relevant law to as nearly as possible reflect the original intentions of the parties and the remainder of the agreement will be enforced as written.
You agree to promptly forward to us any inquiries that you may receive that relate to any MedImmune RSS Feed or to any MedImmune Content by contacting us.
